ACCEPTANCE OF TERMS

By accessing or using www.grinbliss.com (“Website”), creating an account, or submitting content, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Website.

VALIDATION PHASE NOTICE: Grinbliss is currently in validation phase testing our verification system. We are not yet a registered legal entity (Wyoming LLC pending). Our platform, features, and these Terms may change as we refine our service.

1. DESCRIPTION OF SERVICE

WHAT GRINBLISS IS:
Grinbliss is a dental clinic directory platform in validation phase that verifies Mexican dental clinics have required documentation from Mexican authorities (COFEPRIS, municipalities, SEP, etc.). We connect US and Canadian patients with verified clinics.

WHAT GRINBLISS IS NOT:
• Medical or dental service provider
• Travel agency or booking service
• Medical tourism facilitator or coordinator
• Health authority or regulatory agency
• Payment processor or insurance provider
• Guarantor of treatment quality or outcomes

VERIFICATION SYSTEM:
We use two-level verification:
• Level 1: Grinbliss Team (administrative/legal documentation review)
• Level 2: Council Dental Advisors (professional peer review)

Result is binary: Verified (listed) or Not Verified (not listed). There are no badge levels. Annual re-verification required. Verification confirms documentation at a point in time, not continuous quality or outcomes.

2. USER ACCOUNTS

ELIGIBILITY:
• Must be 18+ years old
• Must provide accurate information
• Must have valid email address
• Clinics: Must be authorized representative of legal business

PATIENT ACCOUNTS:
To submit reviews and ratings, you must register with:
• Full name (displayed publicly with reviews)
• Email address (not displayed publicly)
• Password (minimum 8 characters)
• Profile photo (optional but recommended – displayed with reviews)

CLINIC ACCOUNTS:
Initial registration requires:
• Clinic name
• Contact person name
• Email address
• Password

After registration, clinics complete profile with verification documentation (see verification requirements on website).

ACCOUNT SECURITY:
• You are responsible for maintaining password confidentiality
• You are responsible for all activity under your account
• Notify us immediately of unauthorized access: support@grinbliss.com
• We are not liable for losses from unauthorized account use

MULTIPLE ACCOUNTS:
One account per person (patients) or per clinic location (clinics). Multiple accounts for same entity are prohibited.

ACCOUNT SUSPENSION/TERMINATION:
We may suspend or terminate accounts for:
• Violations of these Terms
• Fraudulent activity or fake reviews
• Providing false information
• Abusive or harassing behavior
• Inactivity (patients: 24 months, clinics: per agreement)
• Any reason with notice during validation phase

3. USER-GENERATED CONTENT

REVIEWS AND RATINGS:
Registered patients may submit:
• Star ratings (1-5 stars)
• Written reviews
• Photos (optional)

CONTENT OWNERSHIP:
• You own your content
• You grant Grinbliss license to display, use, and distribute your content
• Your name and profile photo appear publicly with reviews
• Reviews remain public even if you delete your account (anonymized to “Former User”)

CONTENT STANDARDS – Reviews Must Be:
• Honest and based on actual experience
• About clinics you actually visited
• Free of personal health information
• Not defamatory, offensive, or illegal
• Not spam, advertising, or promotional
• Not fake or incentivized

PROHIBITED CONTENT:
✗ Fake reviews or ratings
✗ Reviews for clinics you didn’t visit
✗ Reviews written in exchange for compensation
✗ Personal medical information (protect your privacy)
✗ Defamatory, hateful, or threatening content
✗ Spam, advertising, or promotional content
✗ Copyright or trademark violations
✗ Private information of others

EDITING REVIEWS:
• Patients may edit reviews within 30 days of posting
• After 30 days, reviews cannot be edited (contact support@grinbliss.com for issues)

CLINIC RESPONSES:
• Clinics may respond to reviews on their profile
• Responses must be professional and comply with content standards

MODERATION:
• Grinbliss may remove content violating these Terms
• Grinbliss may remove content without explanation during validation phase
• Decisions are final but you may contact support@grinbliss.com to appeal
• We are not obligated to monitor content but reserve right to do so

UPLOADED PHOTOS:
• You must own or have rights to photos uploaded
• Photos must not contain nudity, illegal content, or violate others’ rights
• Profile photos and review photos auto-publish with post-moderation
• Max file size: 10MB per photo

4. FOUNDING 10 PROGRAM

LIMITED OFFER:
First 10 verified clinics receive:
• Lifetime free verification (normally $999-$1,500/year value)
• Lifetime free marketing services
• Founding Partner status

OBLIGATIONS:
• Must complete full verification process
• Must maintain compliance with verification requirements
• Must provide feedback on verification process
• Can still be removed for violations of Terms or verification requirements

TERMINATION:
Founding 10 benefits continue for lifetime of clinic’s participation unless clinic violates Terms, loses verification status, or voluntarily terminates.

5. ACCEPTABLE USE POLICY

YOU MAY NOT:

FOR ALL USERS:
✗ Violate any laws or regulations
✗ Infringe intellectual property rights
✗ Transmit viruses, malware, or harmful code
✗ Attempt to hack, disrupt, or damage the Website
✗ Scrape, crawl, or data mine the Website
✗ Impersonate others or misrepresent affiliation
✗ Harass, threaten, or abuse other users
✗ Use automated systems (bots) without permission

FOR PATIENTS:
✗ Create fake accounts or multiple accounts
✗ Post fake reviews or ratings
✗ Review clinics you didn’t actually visit
✗ Accept compensation for reviews
✗ Manipulate or game the rating system
✗ Share login credentials

FOR CLINICS:
✗ Provide false verification documentation
✗ Post fake reviews of own clinic
✗ Solicit fake positive reviews
✗ Threaten or pressure patients over reviews
✗ Impersonate other clinics
✗ Misrepresent verification status

CONSEQUENCES:
Violations may result in: content removal, account suspension, account termination, removal from platform (clinics), legal action if applicable.

6. INTELLECTUAL PROPERTY

GRINBLISS PROPERTY:
All Grinbliss content, logos, trademarks, design, and functionality are owned by Grinbliss and protected by copyright and trademark laws. You may not copy, modify, or distribute without written permission.

USER CONTENT LICENSE:
By submitting content (reviews, photos, etc.), you grant Grinbliss:
• Worldwide, non-exclusive, royalty-free license
• To use, display, reproduce, and distribute your content
• For operating platform, marketing, and promotional purposes
• With attribution to you (your name/photo)

This license continues even after account deletion for content already published.

CLINIC CONTENT LICENSE:
Clinics grant Grinbliss license to display:
• Business information and credentials
• Facility photos and descriptions
• Verification status and badges
• For directory and promotional purposes

DMCA NOTICES:
Copyright infringement claims: support@grinbliss.com with subject “DMCA Notice”

7. DISCLAIMERS

NO MEDICAL ADVICE:
Grinbliss does not provide medical or dental advice. We are not qualified to recommend treatments or diagnose conditions. Always consult licensed dental professionals.

NO GUARANTEES:
We do not guarantee:
• Quality, safety, or success of treatments
• Accuracy of clinic information or user reviews
• Platform availability or uninterrupted service
• Current validity of clinic credentials (verified at point in time)
• That verified clinics will meet your expectations

VALIDATION PHASE:
• Platform is experimental and may change or discontinue
• Features may be added, modified, or removed
• Service availability is not guaranteed
• Data loss is possible (though we take reasonable precautions)

USER CONTENT:
• Reviews reflect individual opinions, not Grinbliss endorsements
• We do not verify accuracy of user-generated content
• Ratings are subjective and may not represent your experience

AS-IS SERVICE:
THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRINBLISS AND ITS FOUNDERS, TEAM MEMBERS, COUNCIL ADVISORS, AND AFFILIATES ARE NOT LIABLE FOR:

• Any injury, harm, or adverse outcome from dental treatment
• Decisions you make based on Website information
• Actions or omissions of listed clinics
• User-generated content (reviews, ratings, photos)
• Platform downtime, errors, or data loss
• Account access issues or termination
• Disputes between users and clinics
• Any direct, indirect, incidental, consequential, or punitive damages

MAXIMUM LIABILITY:
Our total liability to you for any claims is limited to $100 USD or amount you paid to Grinbliss in past 12 months (currently $0 for patients), whichever is greater.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Grinbliss from any claims, damages, losses, or expenses (including legal fees) arising from:
• Your use of the Website
• Your violation of these Terms
• Your violation of any laws or rights of others
• Content you submit
• Your interactions with clinics or other users

10. DISPUTE RESOLUTION

DISPUTES BETWEEN USERS AND CLINICS:
• Grinbliss is not mediator or arbitrator
• Resolve disputes directly with clinics
• Grinbliss may remove accounts violating Terms but cannot force resolutions
• See our Patient Acknowledgment document for legal recourse information

DISPUTES WITH GRINBLISS:

INFORMAL RESOLUTION:
Contact support@grinbliss.com first. We’ll attempt good faith resolution within 30 days.

BINDING ARBITRATION:
If informal resolution fails, disputes will be resolved through binding arbitration in Wyoming, United States under American Arbitration Association rules. You waive right to trial by jury.

CLASS ACTION WAIVER:
You agree to bring claims only in individual capacity, not as class action, consolidated action, or representative action.

EXCEPTIONS:
Either party may seek injunctive relief in court for intellectual property violations or misuse of platform.

GOVERNING LAW:
These Terms are governed by laws of Wyoming, United States, without regard to conflict of law principles.

11. ACCOUNT TERMINATION

BY YOU (VOLUNTARY):
• Patients: Delete account via account settings or email support@grinbliss.com
• Clinics: Email support@grinbliss.com
• Your data deleted per Privacy Policy (90 days)
• Reviews remain but anonymized (or deleted upon request)

BY GRINBLISS (INVOLUNTARY):
We may terminate accounts for:
• Violations of these Terms
• Fraudulent activity
• Abusive behavior
• Inactivity (patients: 24 months, clinics: per agreement)
• Any reason during validation phase with notice

EFFECTS:
• Immediate loss of access
• Content may remain (reviews anonymized)
• No refunds (clinics – if applicable)
• Outstanding obligations remain

APPEAL:
Email support@grinbliss.com within 30 days with “Account Appeal” in subject. We’ll review but decisions are final.

12. COMMUNICATIONS

ACCOUNT NOTIFICATIONS:
By creating account, you consent to receive:
• Account-related emails (verification, security, updates)
• Platform change notifications
• Required legal notices

MARKETING (OPTIONAL):
• Marketing emails require opt-in
• Opt-out anytime via unsubscribe link or support@grinbliss.com

EMAIL ADDRESS:

13. DATA AND PRIVACY

Your use of the Website is also governed by our Privacy Policy and Cookie Policy.

By using the Website, you acknowledge:

• Patient accounts: Your name and photo are public with reviews
• Clinic accounts: Profile information is public

14. MODIFICATIONS TO TERMS

We may modify these Terms at any time.

NOTICE:
• Updated “Last Updated” date at top
• Email notification to registered users for material changes
• Continued use after changes constitutes acceptance

If you disagree with changes:
• Delete your account within 30 days
• Stop using the Website

15. TERMINATION OF SERVICE

Grinbliss may modify, suspend, or discontinue the Website at any time, especially during validation phase.

We are not liable for:
• Service interruptions or termination
• Data loss from service termination
• Features removed or changed

Clinics in Founding 10 Program: Special terms apply per Founding 10 Agreement.

16. GENERAL PROVISIONS

ENTIRE AGREEMENT:
These Terms, together with Privacy Policy, Cookie Policy, Medical Disclaimer, and (if applicable) Founding 10 Agreement or Council Advisors Agreement, constitute entire agreement.

SEVERABILITY:
If any provision is unenforceable, remaining provisions remain in effect.

NO WAIVER:
Failure to enforce any provision does not waive our right to enforce it later.

ASSIGNMENT:
You may not assign your rights. We may assign our rights with notice.

INDEPENDENT CONTRACTORS:
No employment, partnership, or agency relationship is created.

HEADINGS:
Section headings are for convenience only.

SURVIVAL:
Provisions that should survive termination (liability, indemnification, dispute resolution, intellectual property) continue after termination.

FORCE MAJEURE:
We are not liable for delays or failures due to circumstances beyond reasonable control.
